Job Summary:

We are a Singapore headquartered brokerage firm with diversified businesses spanning retail and institutional brokerage, prime brokerage, securities lending and borrowing (SBL), and investment banking.

We are looking for Senior Legal Counsel/ Legal Counsel to provide strategic and day-to-day legal support across all business lines, partnering closely with various stakeholders, including front office, operations, risk and compliance teams.

Job Description

Transactional & Advisory

  • Draft, review, and negotiate a broad range of agreements, including prime brokerage agreements, give-up agreements, ISDA Master Agreements, Credit Support Annexes, GMSLAs, GMRAs, clearing agreements, introducing broker arrangements, vendor and technology contracts and outsourcing agreements.
  • Advise the investment banking division on equity capital markets (ECM) and debt capital markets (DCM) transactions, M&A advisory, engagement letters, underwriting agreements, placement agreements, and related transaction documentation.
  • Provide legal support on retail, institutional and prime brokerage matters, including terms of business, customer onboarding and account documentation, margin financing documentation and client disclosures.

Regulatory & Governance

  • Provide legal input on regulatory matters under the Securities and Futures Act, Financial Advisers Act, and MAS notices and guidelines (coordinating with the Compliance team, which owns the regulatory relationship).
  • Support new product launches, new business initiatives, and cross-border expansion with legal risk assessments.
  • Assist with corporate governance, board and committee matters, and intra-group arrangements.

Disputes & Risk

  • Manage client complaints, pre-litigation matters, disputes, instructing and managing external counsel where appropriate.
  • Advise on enforcement events, close-outs, default management, and insolvency scenarios affecting counterparties.

Stakeholder Engagement

  • Act as a trusted advisor to business units and a partner to stakeholders such as Compliance and Risk.
  • Review and advise on internal policies, procedures, and risk frameworks from a legal perspective.

Requirements

  • Qualified lawyer in Singapore, England & Wales, Australia, Hong Kong or another common law jurisdiction. (Singapore qualification strongly preferred.)
  • Minimum of 7 years PQE gained at a reputable law firm and/or in-house at a financial institution.
  • Sound commercial judgment, strong drafting and negotiation skills, and the ability to translate complex legal issues into practical business advice.
  • Comfortable working independently on multiple matters simultaneously in a lean in-house team.
  • Proficiency and excellent communication skills in English.
